ORD-Sua Sponte ~ This Court previously issued orders determining that the judgment at issue is not appealable and ordered Appellant to file a certiorari petition. While claims remain pending between the parties that involve interrelated facts, from the limited record on appeal, it appears those claims are not legally interdependent with the claim for dissolution of the corporation. The Final Judgment dissolves the corporation, orders liquidation of the company’s assets, and authorizes claims by creditors. See § 607.1433, Fla. Stat. (2018) (setting out the requirements for a judgment of dissolution, including the notification of claimants under section 607.1406). Thus, after further consideration, we conclude that the Final Judgment granting judicial dissolution of a corporation under section 607.1430, Florida Statutes (2018), is an appealable partial final judgment. The judgment finally disposes of a separate and distinct cause of action for dissolution under the statute. Fla. R. App. P. 9.110(k) (“A partial final judgment, other than one that disposes of an entire case as to any party, is one that disposes of a separate and distinct cause of action that is not interdependent with other pleaded claims.”). Generally, during appeals of judgments dissolving a corporation, the court retains jurisdiction to oversee the liquidation of assets and oversee the dissolution. However, because of the limited record on appeal, we sua sponte determine a stay of the trial court proceedings is appropriate. Accordingly, it is ORDERED that our prior order treating this case as a certiorari proceeding is vacated. The case shall proceed as an expedited appeal from a final judgment. No extensions of time shall be granted. The filing of motions by any party shall not toll the running of the briefing schedule. The appendix provided with the petition is accepted in lieu of a record on appeal. Within twenty (20) days from the date of this order, the Appellant shall file an initial brief or notice that the petition filed on July 1, 2019 shall serve as the initial brief. The Appellee shall file an answer brief within twenty (20) days of service of the Appellant’s initial brief. At the time it files an answer brief the appellee may file a supplemental appendix containing items filed in the circuit court but not included in the appellant’s appendix. The Appellant may file a reply brief within ten (10) days of service of the Appellee’s answer brief; further, ORDERED that further proceedings in the circuit court are stayed pending the disposition of this appeal or further order of this court.
